1. Acceptance and Agreement Scope

By engaging our services, you agree to these Terms and acknowledge that your content will be processed through third-party platforms with their own terms and policies. If you disagree with any provision, please do not use our services.

2. Service Description

We provide professional content creation services including:

• AI-Powered Video Translation: Multi-language video translation using HeyGen's translation technology
• AI Avatar Video Creation (Client-Provided Script): Video production with AI avatars based on your scripts
• AI Avatar Video Creation (Custom Script Development): Full-service content creation including script ideation, writing, and video production

Platform Dependencies: Our services utilize:

• HeyGen: AI video generation, avatar creation, voice synthesis, and video translation
• Envato Elements: Digital assets including templates, graphics, fonts, stock footage, and audio
• Other specialized tools as needed for specific projects

3. Platform Terms Pass-Through

Mandatory Compliance: By using our services, you agree to comply with the terms and policies of the underlying platforms we use:

Integration: These third-party terms are incorporated by reference into our agreement with you. Violations of platform terms may result in service suspension or termination.

4. Client Responsibilities and Warranties

You warrant and agree that:

Content Ownership and Rights:

• You own or have necessary rights to all materials you provide
• Your content does not infringe third-party intellectual property rights
• You have obtained all necessary consents for any personal likenesses, voices, or biometric information
• Your content complies with applicable laws and regulations

Consent for Avatar Creation: For projects involving custom avatars or voice cloning:

• You must obtain and maintain explicit written consent from any individual whose likeness or voice is used
• You must honor removal requests from depicted individuals
• You are solely responsible for maintaining consent documentation
• Creating avatars without proper consent violates both our terms and HeyGen's policies

Platform Policy Compliance: Your project requirements and content must comply with:

• HeyGen's prohibition on violent, hateful, deceptive, sexually explicit, political campaign, or harmful content
• HeyGen's requirements for ownership and consent for all likenesses
• Envato's restrictions on redistribution, resale, and on-demand services
• Envato's requirement that assets be incorporated into larger projects with skill and effort applied

Acceptable Use: You agree NOT to use our services to create:

• Content that promotes violence, hate speech, or discrimination
• Misleading deepfakes without proper disclosure
• Content infringing intellectual property rights
• Content violating privacy or publicity rights
• Political campaign content or unauthorized celebrity content
• Content harmful to minors or exploiting children
• Sexually explicit or pornographic material
• Fraudulent, deceptive, or illegal content

5. Our Service Obligations

Professional Standards: We provide:

• Project management and client communication
• Quality control and content review
• Compliance screening against platform policies
• Timely delivery according to agreed schedules
• Professional revision services as specified in agreements

Content Moderation: We review all content requests for:

• Compliance with third-party platform acceptable use policies
• Legal and ethical standards
• Alignment with project specifications
• Technical feasibility

Right to Decline: We reserve the right to decline projects that:

• Violate third-party platform terms or policies
• Pose legal or ethical concerns
• Are beyond our technical capabilities
• Conflict with our professional standards

6. Intellectual Property and Licensing

Your Content: You retain all ownership rights to original materials you provide.

Generated Content and Deliverables:

• You receive rights to final video content created through our services, subject to platform licensing terms
• AI-generated avatars and videos are owned by you as specified in HeyGen's terms, provided you have necessary consents
• Content incorporating Envato Elements assets is subject to sublicensing provisions below

Envato Elements Sublicensing:

• Each Envato asset is registered to your specific project during our active subscription
• You receive a sublicense for assets incorporated into your End Product
• The sublicense is limited to use of assets within the completed End Product only
• Assets cannot be extracted, redistributed, or used separately from the End Product
• The license remains valid for that specific project even if our subscription ends, provided the project was completed during an active subscription
• Each new project using the same asset requires separate registration and active subscription at time of project completion
• You cannot claim ownership of Envato assets or use them for merchandising without substantial transformation

Platform Technology: Third-party platforms (HeyGen, Envato) retain all rights to their respective technologies, AI models, and asset libraries.

Important Licensing Limitations:

• Envato assets cannot be used for on-demand services where end-users customize products
• Music items from Envato cannot be used for broadcast (TV, radio, streaming services)
• You must maintain active subscription status through project completion for license validity

7. Service Limitations and Disclaimers

Platform Dependencies:

• Service availability depends on third-party platform operational status
• We are not responsible for platform outages, policy changes, or technical limitations
• HeyGen and Envato may modify their services, features, or policies at any time

Performance Variables:

• AI-generated content quality depends on input materials and platform capabilities
• Translation accuracy varies by language pair and content complexity
• Avatar realism depends on source material quality and platform technology

No Warranties for Platform Performance: We warrant professional service delivery but cannot guarantee specific outcomes dependent on third-party platform performance, AI model outputs, or asset availability.

8. Liability Limitations

Our Liability: Limited to fees paid for specific services. We are not liable for:

• Third-party platform limitations, errors, or outages
• AI model inaccuracies or artifacts
• Platform policy changes affecting deliverables
• Indirect, consequential, or incidental damages

Client Indemnification: You agree to indemnify and hold us harmless from claims arising from:

• Your violation of third-party platform terms
• Content you provide that infringes rights or violates laws
• Your use of deliverables in violation of licensing terms
• Lack of proper consents for likenesses or biometric data
• Misrepresentation of ownership or rights

9. Project Completion and Delivery

Completion Requirements:

• Projects must be completed during active platform subscriptions for license validity
• Final deliverables include rendered video files and license documentation
• Envato license certificates provided for all incorporated assets

Revisions: Revision allowances specified in service agreements. Additional revisions subject to platform limitations and additional fees.

Client Approval: Timely client feedback and approval required to maintain project schedules and license validity.

10. Payment Terms

Service Fees: As specified in individual service agreements or quotes.

Platform Costs: Included in service fees. We maintain necessary platform subscriptions.

Payment Processing: We use third-party payment processors. You agree to their terms when making payments.

Late Payment: May result in project delays or license complications for time-sensitive assets.

11. Termination

By Client: You may terminate services by providing written notice. Fees for completed work remain due.

By Us: We may terminate services if you:

• Violate these Terms or platform policies
• Provide fraudulent information or materials
• Fail to make required payments
• Request content that violates platform policies

Effect of Termination:

• Delivery of completed work according to payment status
• Deletion of client materials per retention policy
• Cessation of platform processing
• Licenses for completed projects remain valid per platform terms

12. Dispute Resolution

Governing Law: These Terms are governed by the State of New Jersey (USA) law.

Arbitration: Disputes subject to binding arbitration as required by platform terms and local jurisdiction.

Platform Disputes: Disputes with third-party platforms must be resolved according to their respective terms.

13. Modifications to Terms

We may update these Terms periodically. Material changes will be communicated via email and website posting. Continued use of services constitutes acceptance of updated Terms.

This Privacy Policy describes how JI Productions LLC ("we," "us," or "our") collects, uses, and protects your information when you use our content creation services that utilize third-party AI platforms and digital asset libraries.

1. Our Role and Service Model

Service Provider Status: We are a content creation service provider that utilizes licensed third-party AI platforms (including HeyGen) and digital asset subscription services (including Envato Elements) to create custom content for our clients. We act as an intermediary service provider, not as the developer or operator of the underlying AI technologies or the creator of licensed digital assets.

Data Processing Role: In most cases, we act as a data processor for customer content. HeyGen, Inc. generally serves as the processor of personal data submitted through their platform, while we coordinate the service delivery. You, as our client, remain the data controller for content you create and generate through our services.

2. Information We Collect

Client Account Information: Name, email address, billing information, company details, and authentication credentials necessary for service delivery.

Project Content: Scripts, brand assets, images, videos, audio files, creative briefs, and any materials you provide for content creation projects.

Usage and Service Data: Project specifications, revision requests, delivery confirmations, communication records, and service usage analytics.

Technical Information: IP addresses, browser type, device information collected automatically through our website and communication platforms.

3. Third-Party Platform Data Processing

AI Platform Processing (HeyGen): When we process your content through HeyGen:

• Content may include biometric information (face geometry, voice characteristics) for avatar creation
• HeyGen processes this data according to their Privacy Policy, Biometric Information Privacy Notice, and GDPR compliance requirements
• HeyGen is SOC 2 Type II compliant and maintains servers in the United States on AWS
• HeyGen does not share data with third-party vendors and maintains daily data backups
• For enterprise clients: HeyGen does not use customer data to train AI systems
• For non-enterprise usage: Data may be used to train and enhance HeyGen's AI models

Digital Asset Platform (Envato Elements): When we source assets for your projects:

• We download and register items from Envato Elements under our business subscription
• Each item is registered to your specific project to ensure proper licensing
• Your project information is maintained in our account records for licensing compliance
• Envato (owned by Shutterstock, Inc.) processes account and usage data according to their Privacy Policy

4. How We Use Your Information

We use collected information solely to:

• Deliver contracted content creation services
• Process content through licensed third-party platforms
• Register and license digital assets for your projects
• Communicate project status, deliverables, and service updates
• Process payments and maintain business records
• Ensure quality control and client satisfaction
• Comply with platform licensing and registration requirements

We do not:

• Use your data for marketing to third parties
• Train AI models (except as required by non-enterprise platform terms)
• Share content beyond necessary service delivery purposes
• Sell or monetize your personal information

5. Data Sharing and Disclosure

Necessary Platform Sharing: Your project materials are processed through:

• HeyGen: For AI video generation, avatar creation, translation, and voice synthesis
• Envato Elements: Asset downloads are registered to your specific projects under our subscription
• Other licensed platforms as specified in our service agreement

Limited Third-Party Sharing: We only share information:

• With platform providers as necessary for service delivery
• With payment processors for transaction handling
• As required by law, regulation, or legal process
• To protect rights, property, or safety of users and our business

Sublicensing to Clients: When we deliver final projects incorporating Envato Elements assets, you receive a sublicense for those assets limited to the specific End Product, as governed by Envato's License Terms.

6. Data Security

Our Security Measures:

• Secure file transfer protocols and encrypted communications
• Access controls and authentication systems
• Confidentiality agreements with all personnel
• Regular security reviews and updates

Platform Security Standards:

• HeyGen: SOC 2 Type II compliant, GDPR compliant, encryption in transit and at rest, incident response procedures
• Envato: Part of Shutterstock, Inc. with enterprise-grade security, GDPR compliance, secure payment processing

7. Data Retention

Client Materials: Retained only as necessary for service delivery and any applicable warranty period, typically 90 days post-delivery unless otherwise specified in our service agreement.

Platform Processing:

• HeyGen: Maintains data according to their retention policies and data processing agreements
• Envato: Maintains licensing records and download history for compliance purposes

Deletion Requests: Upon request or service completion, we securely delete client materials according to our retention policy. Platform data deletion is subject to respective platform policies.

8. Your Rights

You have the right to:

• Access personal information we maintain about you
• Correct inaccurate information in our systems
• Request deletion of your data upon service completion
• Export your original materials and final deliverables
• Object to certain data processing activities
• Withdraw consent where processing is based on consent

Our services are not directed to individuals under 18 years of age. We do not knowingly collect personal information from minors. Both HeyGen and Envato require users to be 18 years or older.

11. Policy Updates

We may update this Privacy Policy periodically. Material changes will be communicated through our website and email notifications. Continued use of our services after changes constitutes acceptance of the updated policy.

2. Consent and Rights Management

Mandatory Consent for Likenesses:

• Explicit written consent required before creating any avatar or voice clone

• Individuals retain the right to request removal of their likeness at any time
• Creating unauthorized likenesses strictly prohibited and grounds for immediate service termination

Biometric Information Handling:

• Biometric data (face geometry, voice characteristics) collected only with explicit consent
• Processed securely according to HeyGen's Biometric Privacy Notice
• Used solely for avatar creation and identity verification
• Not sold, leased, or traded for profit
• Protected with reasonable standard of care and encryption

Rights Verification: Before project commencement, we verify:

• Client ownership or licensing of all input materials

• Rights to use third-party intellectual property

Envato Content Standards: Assets sourced must comply with:

 Platform-Specific Pass-Through Provisions

HeyGen Services: Content created using HeyGen is subject to HeyGen's Terms of Service, Privacy Policy, and Community Guidelines. Clients acknowledge acceptance of these terms for HeyGen-generated content.

Envato Elements Services: Digital assets sourced from Envato Elements are subject to Envato Elements License Terms, User Terms, and Fair Use Policy. Clients receive lifetime commercial licensing for incorporated assets as long as projects are properly registered. Clients acknowledge acceptance of these terms for projects incorporating Envato assets.

Service Level Agreements

Delivery Standards: Based on third-party platform availability and processing capabilities.

Quality Guarantees: Professional service delivery within the constraints of third-party platform limitations.

Revision Policy: Subject to third-party platform terms and technical capabilities.

Risk Management

Platform Dependencies: Service continuity depends on third-party platform availability and terms.

Policy Changes: Services may be modified based on third-party platform policy or capability changes.

Compliance Monitoring: Regular review of third-party platform terms and compliance requirements.

Business Continuity

Alternative Platforms: We maintain relationships with multiple AI platforms to ensure service continuity.
